World Information Architecture Day is an annual celebration held in dozens of locations across the world. We are a community of like-minded professionals and enthusiasts who share the common goal of teaching, learning, and shaping the future of Information Architecture. Our driving principles serve as the foundation both of the global event itself and of the local communities that grow from it.
Our focus is on building local communities of practice within a global network. We recognize that our best chance at reaching our common goals is to foster participation from anyone who may benefit from a better understanding of Information Architecture. To this end, we hold an open-door policy that encourages our greater community to get involved. We hold open planning meetings that anyone may attend, get local businesses involved through targeted event sponsorship, and hold each other accountable for maintaining our spirit of inclusivity.
We have a deep understanding that leaders are created when people are given permission to lead. We remember that we were all new once, and we make space for those that are new today to have the opportunity to succeed. Small or inexperienced communities are enthusiastically welcomed to hold celebrations in their locations, and we provide the support they need to flourish. First-time organizers, speakers, and volunteers are championed as the potential leaders who will carry our event in the future.
Humility is our cornerstone, and we recognize each of us as individuals, as well as the field of Information Architecture itself, always has room to grow. We share our thoughts, ideas, and work freely within a framework of openness, with the understanding that advancement depends on collaboration. The content we create is freely available to the public and we invite conversation around the work we’re doing. We seek opportunities to learn from those outside of the field and ensure that everyone feels welcome to have their voice heard.
Our community was and continues to be grown from the bottom up. We’ve proven that participation can be achieved through humble means and determination, and that limited resources do not constrain our success. Our accomplishments are dependent on the hard work of volunteers and the generous donations of sponsors. Our events will always be open to everyone and we will always put back into our community what we’ve been given.
Started in 2012, World IA Day continues to be the flagship global event in the IA community.
World IA Day was first established in 2012 as a one-day annual event held in dozens of locations across the world and hosted by the Information Architecture Institute (IA Institute). It was started by Abby Covert and Dan Klyn.
Abby and Dan had a vision to create a one-day celebration focused on advancing the practice and education of information architecture. The key here was to create something that was for the community. Their hope was to empower emerging leaders and further the discourse of a growing and, at the time, contentious discipline.
In September 2019, the Board of Directors of the IA Institute voted unanimously to dissolve the organization as a 501(c)(6) professional board of trade. With no fiscal host, World IA Day needed a way to continue to exist. A founding board for World IA Day, Inc. was selected for the sole purpose of establishing a charitable nonprofit organization and to provide fiscal support for the 2020 event to continue.
Shortly after World IA Day, Inc. is designated as a public charity, section 501(c)(3) of the United States Internal Revenue Code, the founding Board will act in accordance with section 3.2 of the bylaws working in a collaborative and transparent manner to establish policies and procedures for all future Board of Director elections and appointments.
This transition for World IA Day as its own governing body started with the end of the IA Institute and requires a process of letting go, realigning, and re-identification before World IA Day re-emerges with its new identity.
During this transition, we'll be using this space to document those changes and share that with the community-at-large.
What is the role and responsibilities of the Board?
Each individual board member is expected to:
know the organization's mission, policies, programs, and needs
read and understand the organization's financial statements
serve as active advocates and ambassadors for World IA Day and engage in identifying and securing the financial resources and partnerships necessary for World IA Day to advance its mission
leverage connections, networks, and resources to develop collective action to fully achieve World IA Day's mission
prepare for, attend, and conscientiously participate in board meetings
participate fully in one or more committees

The nomination process is designed to identify, encourage, and enlist the active participation of dedicated individuals in the Information Architecture community at the leadership level.
World IA Day is dedicated to empowering leadership. Getting involved is the first step in being a leader.

World IA Day's board of directors is elected by the community organizers. These volunteers play a strategic role in determining the mission and direction of World IA Day, ensuring that the organization continues to operate in support of its mission and driving principles.

The primary role of a World IA Day Regional Director is to serve as a regional contact working in conjunction with the relevant Directors at large and the Content committee to better serve the region. The Regional Director provides localized advice and feedback on:
information dissemination
local networking and educational opportunities
conduct community outreach with local affiliates (organizers)
sharing of World IA Day global policies and materials for sponsorship, mentorship at regional meetings, if applicable
share updates about the region with the World IA Day Board of Directors
as needed, recruit mentors from local organizations and universities to volunteer their time in helping local event teams and/or mentor
devise effective tools and methodologies to engage communities within their region

The goal is to ensure fiscal transparency, legal compliance, financial solvency, and operational reliability. It is the Finance Committee's mission to make financial flows across the organization as transparent as possible and direct significant resources to all new business (sponsorships, partnerships, etc) and any old business that has financial implications that have not been provided for in the organization budget.

2.1.1 To receive and administer funds and to operate exclusively for purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or comparable provisions of subsequent legislation (the “Code”), and in particular to empower individuals and local communities to shape the global practice of information architecture.
2.1.2 To acquire, own, dispose of, and deal with real and personal property and interests therein and to apply gifts, grants, scholarships, bequests and devises and their proceeds thereof in furtherance of the purposes of the corporation.
2.1.3 To do all such things and to perform all such acts to accomplish its purposes as the Board of Directors may determine to be appropriate and as are not forbidden by section 501(c)(3) of the Code, with all the power conferred on nonprofit corporations under the laws of the State of Florida.\
The goals of World IA Day include:
2.2.1 To build communities of practice within a global network by fostering participation from those who may benefit from a better understanding of information architecture, so they may bring knowledge of the practice to their local communities.
2.2.2 To grow awareness of the discipline; sharing our thoughts, ideas, and working within a framework of openness and organizational transparency while promoting social responsibility among practitioners.
2.2.3 To seek opportunities to learn from those outside of the field and build bridges to related disciplines and organizations through research, education, advocacy, and community service.
2.2.4 To preserve content created by communities of practice, making it freely available to the public in as many languages as possible.
2.2.5 To provide such services to the community as are approved by the Board of Directors while inviting conversation around the work we are doing.
The corporation shall be operated exclusively for purposes within the meaning of section 501(c)(3) of the Code as a nonprofit corporation. No Director of the corporation shall have any title to or interest in the corporate property or earnings in the Director’s individual or private capacity, and no part of the net earnings of the corporation shall inure to the benefit of any Director, Officer, or any individual.\
The Event Organizers, Directors, Officers, Committee Members and Employees of World IA Day shall be selected in a nondiscriminatory basis with respect to race, color, national origin, sex, religion, age, disability, political beliefs, sexual orientation, and marital or family status.\
Shortly after World IA Day, Inc. is designated as a public charity, section 501(c)(3) of the Code, the founding Board will act in accordance with section 3.2 working in a collaborative and transparent manner to establish policies and procedures for all future Board of Director elections and appointments. Policies and procedures established for Board elections and appointments will be distributed through this guide.
World IA Day reserves the right, in its sole discretion to:
(a) cancel, terminate, modify, extend or suspend the participation of any community member should the member be found in violation of community standards, be affiliated with fraud or other cause to corrupt or affect the administration, security, or for any other reason World IA Day deems necessary; or
**(**b) disqualify any community member it finds to be tampering with the entry process or operation of World IA Day; or
(c) refuse event participation or entry to any person for any reason World IA Day deems necessary and upholding World IA Day policies and procedures as defined in the Organizer Guidebook.
Upon dissolution of the corporation or the winding up of its affairs, the assets of World IA Day shall be distributed exclusively to organizations which would then qualify under the provisions of Section 501(c) of the Internal Revenue Code and its Regulations as they now exist or as they may hereafter be amended.\
The Treasurer shall deposit all funds of World IA Day in a federally insured financial institution designated by the Board of Directors.
The fiscal year of World IA Day shall extend from July 1st to June 30th.
At the end of each fiscal year, the Board shall prepare or cause to be prepared a budget of estimated income and expenditures for the following year, which, having been agreed to by the Board, shall stand as the limit of expenditures for the respective purposes unless otherwise ordered by action of the Board. \
All bills shall be paid by check or online payment by the Treasurer or another authorized officer. Bills over $1,500 USD must first have specific authorization by the Board. Written requests for expenditures of $1,500 USD or more, if not specified in the approved budget, must be approved by the Board and made public.
Audit procedures by a certified public accountant or other qualified person shall be made at the Board’s discretion as needed. This review is to be determined upon presentation of the year-end financial statement. An annual financial statement of World IA Day shall be provided publicly.
The Board of Directors may establish rules and guidelines that are consistent with these Bylaws for the policies, procedures, and programs of World IA Day.
World IA Day will maintain correct and complete books and records of account of the activities and transactions including: a copy of World IA Day’s application for tax-exempt status, copies of the IRS information return, and a copy of its Articles of Incorporation, Bylaws, and all amendments thereto. All books and records of World IA Day may be inspected by any Director or his or her agent or attorney for any proper purpose at any reasonable time.
The responsibility of the founding board is to set up the organization as a nonprofit entity, establishing a set of guidelines and community standards, and lay the foundation for an operational framework that enables flexibility for the organization to grow while implementing a level of governance to promote responsible business decisions and fiscal transparency.
The founding Board of Directors for World IA Day, Inc. consists of three (3) Officers: President, Director of Development (Treasurer) and Director of Operations (Secretary). Subsequent boards will be selected by a process established by the World IA Day community.
It shall be the duty of the President to preside at meetings of the World IA Day and the Board and to perform other duties as ordinarily pertains to the office of President and as contained in the current World IA Day Board of Directors Guide.
It shall be the duty of the Director of Development to serve as a Board Director and as the Board representative on the Governance Committee and Finance Committee, also performing such other duties as required by the President.
It shall be the duty of the Director of Operations to serve as a Board Director and as the Board representative on the Governance Committee, also performing such other duties as required by the President.
World IA Day shall indemnify each person who is or was a Director, Officer, or Committee Member and each person who serves or has served at the request of World IA Day as a Director, Officer, partner, employee or agent of any other corporation, partnership, joint venture, trust or other enterprise to the fullest extent permitted by the laws of the State of Florida as they may be in effect from time to time. The corporation may, to the Extent authorized from time to time by the Board, grant rights to indemnification to any employee, non-director volunteer, or agent of World IA Day to the fullest extent provided under the laws of the State of Florida as they may be in effect from time to time.
World IA Day may purchase and maintain insurance on behalf of any such person against any liability asserted against and incurred by such person in any such capacity or arising out of his status as such, whether or not the corporation would have the power to indemnify such person against such liability under the preceding two sentences.
These Bylaws may be amended by an affirmative vote of a majority of the Board of Directors then in office. No amendment inconsistent with the Articles of Incorporation shall be effective prior to amendment of the Articles of Incorporation.
In the event of any ambiguity or dispute in the interpretation of these Bylaws, such ambiguity or dispute shall be resolved by majority vote of the Board of Directors.

The function of the Content committee shall be to make recommendations on current and innovative plans and policies on the management, initiation, or discontinuance of publications, social media channels, and information platforms. It shall appoint editors, writers, or moderators.

The purpose of the Scholarships Committee is to review and award scholarships for qualifying individuals based upon agreed criteria and subject to available funds.

oversee the review of WIAD scholarship applications and selection
coordination of planning and implementation efforts of scholarships
work with conference partners for travel arrangements
Scholarships may be used for conference registration, lodging, and travel to the conference.
The Scholarship Committee is responsible for the review of applications and allocation of funds. The Committee seeks to assist as many students and others in need as possible, but available funds are limited.

We believe the way forward is to establish a governance committee to support sound decision making and adherence to our mission. This committee will be called on to uncover blindspots, ensure adherence to sound business practices, and hold the board responsible for their promise to move us closer to our mission.
Determine rules for members, organizers, events
Review committee charters and organization bylaws and make recommendations for any changes in order to correct inconsistencies and bring documents and practices in line with organization mission and values.
Be a supportive partner in defining organizational governance, including its structure, culture, processes, and practices.
Review budgets, bylaws, and code of conduct
Oversee endeavors of other subcommittees to make sure the initiatives align with the organizational mission
Contribute at a minimum of 3 hours a month to attend quarterly meetings and contribute to discussions

active in the community. For instance, they have given back to the community as a speaker, mentor, volunteer, researcher, and/or organizer
have a passion for advancing the field of information architecture
have some experience with business or nonprofit operations
Should all officers be part of the Governance Committee? Yes, the "minimally viable board" is an essential part of the governance committee.
How can someone be recruited? Mostly invited and we take nominations.

The Safety & Conduct Committee has the power to
receive, initiate, and investigate complaints of unethical conduct of World IA Day participants (organizers, speakers, volunteers, and attendees)
dismiss or recommend action on conduct cases
resolve cases by agreement where appropriate
formulate rules or guidelines for adoption by the organization
formulate rules or procedures governing the code of conduct or disciplinary process for approval by the Board of Directors
